This Terms of Use (the “Terms of Use”) is entered into between Global Accelerator Network, LLC (“Global Venture Network,” “us,” “we,” or “our”) and you, or if you represent an entity or other organization, that entity or organization (in either case, “you”). This Terms of Use governs your access to and use of the websites and online properties operated by Global Venture Network, including www.globalventurenetwork.com, www.launchbook.com, www.venturesummit.io, and thework.globalventurenetwork.com, together with any other website or online property operated by Global Venture Network that links to this Terms of Use (each, a “Site” and collectively, the “Sites”), and the services, memberships, platforms, events, and resources enabled via the Sites or otherwise provided by Global Venture Network, including Global Venture Network membership, the Launchbook perks platform, The Venture Summit and other Global Venture Network events, Global Venture Network peer forum groups, and Global Venture Network community channels (each a “Service” and collectively, the “Services”). References in this Terms of Use to the “Website” refer to the Sites, individually and collectively.
PLEASE READ THIS TERMS OF USE CAREFULLY. BY COMPLETING THE REGISTRATION PROCESS, BROWSING OR ACCESSING ANY SITE, AND/OR USING THE SERVICES, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE TERMS OF USE, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH GLOBAL VENTURE NETWORK, AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THE TERMS OF USE PERSONALLY OR ON BEHALF OF THE COMPANY YOU HAVE NAMED AS THE USER, AND TO BIND THAT COMPANY TO THE TERMS OF USE. THE TERM “YOU” REFERS TO THE INDIVIDUAL OR LEGAL ENTITY, AS APPLICABLE, IDENTIFIED AS THE USER WHEN YOU REGISTERED ON THE WEBSITE. IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS OF USE, YOU MAY NOT ACCESS OR USE THE WEBSITE OR THE SERVICES.
PLEASE NOTE THAT THESE TERMS OF USE ARE SUBJECT TO CHANGE BY GLOBAL VENTURE NETWORK IN ITS SOLE DISCRETION AT ANY TIME. Global Venture Network will inform you of the presence of any changes to this Terms of Use by posting those changes on the Website, by changing the date at the top of the Terms of Use, and/or by providing you with notice through the Website or other means (including by sending you notice to any email address provided to Global Venture Network). Unless otherwise stated, any modifications will be effective immediately upon posting on the Website or delivery of such notice. You may terminate the Terms of Use as set forth below if you object to any such modifications. However, you will be deemed to have agreed to any and all modifications through your continued use of the Website or Services following such notice period. PLEASE REGULARLY CHECK THE WEBSITE TO VIEW THE THEN-CURRENT TERMS.
Your use of, and participation in, certain Services may be subject to additional terms, including any applicable terms between Global Venture Network and your employer or organization and any terms presented to you for your acceptance when you use a supplemental Service (“Supplemental Terms”). If the Terms of Use are inconsistent with the Supplemental Terms, the Supplemental Terms shall control with respect to such Service. The Terms of Use and any applicable Supplemental Terms are referred to herein as the “Agreement.”
1. USE OF GLOBAL VENTURE NETWORK PROPERTIES
1.1 Global Venture Network Properties
The Sites, the Services, and the information, data, images, and other content (“Content”) available on or through the Sites and the Services (the Sites, the Services, and the Content each, a “Global Venture Network Property” and collectively, the “Global Venture Network Properties”) are protected by copyright laws throughout the world. Subject to the Agreement, Global Venture Network grants you a limited license to reproduce portions of Global Venture Network Properties for the sole purpose of using the Sites and the Services for your personal or internal business purposes. Unless otherwise specified by Global Venture Network in a separate license, your right to use any and all Global Venture Network Properties is subject to the Agreement.
1.2 Certain Restrictions
The rights granted to you in the Terms of Use are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit Global Venture Network Properties or any portion of Global Venture Network Properties, including the Website, (b) you shall not frame or utilize framing techniques to enclose any trademark, logo, or other Global Venture Network Properties (including images, text, page layout or form) of Global Venture Network; (c) you shall not use any metatags or other “hidden text” using Global Venture Network’s name or trademarks; (d) you shall not modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of Global Venture Network Properties except to the extent the foregoing restrictions are expressly prohibited by applicable law; (e) you shall not use any manual or automated software, devices or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools or the like) to “scrape” or download data from any web pages contained in the Website (except that we grant the operators of public search engines revocable permission to use spiders to copy materials from the Website for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials); (f) you shall not access Global Venture Network Properties in order to build a similar or competitive website, application or service; (g) except as expressly stated herein, no part of Global Venture Network Properties may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means; and (h) you shall not remove or destroy any copyright notices or other proprietary markings contained on or in Global Venture Network Properties. Any future release, update or other addition to Global Venture Network Properties shall be subject to the Terms of Use. Global Venture Network, its suppliers and service providers reserve all rights not granted in the Terms of Use. Any unauthorized use of any Global Venture Network Property terminates the licenses granted by Global Venture Network pursuant to the Terms of Use.
2. REGISTRATION
2.1 Registering Your Account
In order to access certain features of Global Venture Network Properties you may be required to become a Registered User. For purposes of the Terms of Use, a “Registered User” is a user who has registered an account on any Site (an “Account”). Certain Services, including the Launchbook perks platform, additionally require a valid member access code or other eligibility credential, as described in Section 6.
2.2 Registration Data
In registering any Account on the Website, you agree to (a) provide true, accurate, current and complete information about yourself as prompted by the registration form (the “Registration Data”); and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. You represent that you are (x) of legal age to form a binding contract, and (y) not a person barred from using Global Venture Network Properties under the laws of the United States, your place of residence, or any other applicable jurisdiction. If you are under the age of sixteen (16), you may only use the Website under the supervision of your parent or guardian. You are responsible for all activities that occur under your Account. You may not share your Account or password with anyone, and you agree to notify Global Venture Network immediately of any unauthorized use of your password or any other breach of security. If you provide any information that is untrue, inaccurate, not current or incomplete, or Global Venture Network has reasonable grounds to suspect that any information you provide is untrue, inaccurate, not current or incomplete, Global Venture Network has the right to suspend or terminate your Account and refuse any and all current or future use of Global Venture Network Properties (or any portion thereof). You agree not to create an Account using a false identity or information, or on behalf of someone other than yourself unless permitted in writing by Global Venture Network. Global Venture Network reserves the right to remove or reclaim any usernames at any time and for any reason, including but not limited to, claims by a third party that a username violates the third party’s rights. You agree not to create an Account or use Global Venture Network Properties if you have been previously removed by Global Venture Network, or if you have been previously banned from any Global Venture Network Properties.
2.3 Your Account
Notwithstanding anything to the contrary herein, you acknowledge and agree that you shall have no ownership or other property interest in your Account, and you further acknowledge and agree that all rights in and to your Account are and shall forever be owned by and inure to the benefit of Global Venture Network.
2.4 Necessary Equipment and Software
You must provide all equipment and software necessary to connect to Global Venture Network Properties, including but not limited to, a device that is suitable to connect with and use Global Venture Network Properties. You are solely responsible for any fees, including Internet connection or mobile fees, that you incur when accessing Global Venture Network Properties.
3. OWNERSHIP
3.1 Global Venture Network Properties
You agree that Global Venture Network and its suppliers own all rights, title and interest in Global Venture Network Properties. You will not remove, alter, or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying any Global Venture Network Properties. You agree that you have no right, title, or interest in or to any Content that appears on or in Global Venture Network Properties.
3.2 Trademarks
Global Venture Network, Global Accelerator Network, Launchbook, The Venture Summit, and all related graphics, logos, service marks and trade names used on or in connection with any Global Venture Network Properties are the trademarks of Global Venture Network and may not be used without permission in connection with your or any third-party products or services. Other trademarks, service marks and trade names that may appear on or in Global Venture Network Properties are the property of their respective owners.
3.3 Feedback
You agree that submission of any ideas, suggestions, documents, and/or proposals to Global Venture Network through its suggestion, feedback, wiki, forum or similar pages (“Feedback”) is at your own risk and that Global Venture Network has no obligations (including without limitation obligations of confidentiality) with respect to such Feedback. You represent and warrant that you have all rights necessary to submit the Feedback. You hereby grant to Global Venture Network a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable right and license to use, reproduce, perform, display, distribute, adapt, modify, re-format, create derivative works of, and otherwise commercially or non-commercially exploit in any manner, any and all Feedback, and to sublicense the foregoing rights, in connection with the operation and maintenance of Global Venture Network Properties and/or Global Venture Network’s business.
3.4 User-Generated Content
If you post, upload, submit or otherwise share any content on the Website (“User Content”), you hereby grant Global Venture Network a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Website and Global Venture Network’s business, including without limitation for promoting and redistributing part or all of the Website in any media formats and through any media channels. You represent and warrant that: (i) you own the User Content or have the right to use and authorize Global Venture Network to use the User Content as described herein; and (ii) the User Content does not violate the privacy rights, publicity rights, copyright rights, or other rights of any person.
Global Venture Network reserves the right to monitor, remove, edit, or modify any User Content at its sole discretion, including for violation of these Terms of Use or applicable law. Global Venture Network is under no obligation to review User Content but may do so at any time for any reason.
3.5 Usage Data
Except as set forth in any applicable Supplemental Terms, Global Venture Network will have the right to collect, extract, compile, synthesize, and analyze data or information resulting from your access to and use of the Website and Services. To the extent any such data or information is collected or generated by Global Venture Network, the data and information will be solely owned by Global Venture Network and may be used by Global Venture Network for any lawful business purpose. You acknowledge and agree that any personal information collected by Global Venture Network in connection with the Website may be used in accordance with the Global Venture Network Privacy Policy, available at the /privacy page of each Site, including www.globalventurenetwork.com/privacy.
4. USER CONDUCT
As a condition of use, you agree not to use Global Venture Network Properties for any purpose that is prohibited by the Agreement or by applicable law. The obligations in this Section 4 apply to your conduct on the Sites, in the Services, in Global Venture Network community channels and peer forums (including community spaces hosted on third-party platforms such as WhatsApp), and at Global Venture Network events, whether virtual or in person. You shall not (and shall not permit any third party) to take any action on or through the Global Venture Network Properties that: (i) infringes any patent, trademark, trade secret, copyright, right of publicity or other right of any person or entity; (ii) is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, obscene, offensive, or profane; (iii) constitutes unauthorized or unsolicited advertising, junk or bulk e-mail; (iv) involves commercial activities and/or sales without Global Venture Network’s prior written consent; (v) impersonates any person or entity, including any employee or representative of Global Venture Network; (vi) interferes with or attempt to interfere with the proper functioning of Global Venture Network Properties or uses Global Venture Network Properties in any way not expressly permitted by the Agreement; or (vii) attempts to engage in or engage in, any potentially harmful acts that are directed against Global Venture Network Properties, including but not limited to violating or attempting to violate any security features of Global Venture Network Properties, using manual or automated software or other means to access, “scrape,” “crawl” or “spider” any pages contained in Global Venture Network Properties, introducing viruses, worms, or similar harmful code into Global Venture Network Properties, or interfering or attempting to interfere with use of Global Venture Network Properties by any other user, host or network, including by means of overloading, “flooding,” “spamming,” “mail bombing,” or “crashing” Global Venture Network Properties.
4.1 Prohibited Content
You agree not to post or share any content that: violates any applicable law or regulation; is hateful, threatening, abusive, harassing, defamatory, libelous, or invasive of another’s privacy; harms minors in any way; infringes any patent, trademark, trade secret, copyright, or other intellectual property right of any party; contains software viruses or any other code designed to interrupt, destroy, or limit the functionality of any computer software or hardware; contains advertisements, spam, or commercial solicitations; impersonates any person or entity, including any Global Venture Network employee or representative; or includes personal or identifying information about another person without that person’s explicit consent.
4.2 Community Standards
Global Venture Network may publish community guidelines, codes of conduct, or event policies governing particular Services, community channels, forums, or events. Any such guidelines or policies are incorporated into the Agreement by reference and apply in addition to this Section 4. Global Venture Network may moderate, restrict, remove, or decline to publish any content in any community channel, and may mute, suspend, or remove any participant from any community channel, forum, or event, at its sole discretion, including for conduct that violates the Agreement or that Global Venture Network reasonably considers harmful to other participants or to the network.
5. MEMBERSHIP, FEES, BILLING, AND RENEWAL
5.1 Membership
Global Venture Network offers paid memberships at the tiers and prices described on the membership page of www.globalventurenetwork.com. The benefits associated with each tier are described on the Sites and in materials we provide to members, and are provided to the member organization identified at signup and to the individuals that organization designates for its included seats. Global Venture Network may accept or decline any membership application in its sole discretion. Global Venture Network may improve, modify, or replace particular membership benefits from time to time, provided that the membership remains substantially similar in overall value during a paid term.
5.2 Fees; Annual Agreements; Payment
Except where otherwise expressly stated at the time of purchase, memberships are sold as annual agreements. Each membership runs for an annual term beginning on the start date stated at signup or, where Global Venture Network operates a common membership year, on the common start date communicated to you at signup. Annual agreements may be paid in full at signup or, where offered, in monthly installments. Monthly payment is a payment plan on an annual agreement and is not a month-to-month membership; except as provided in Section 5.5 (the 45-Day Membership Guarantee), the full annual fee is owed for each membership year regardless of payment schedule. You authorize Global Venture Network and its payment processor to charge the payment method on file for all fees as they come due, and you agree to keep a valid payment method on file for the duration of any annual agreement paid in installments. Participation in matched funder meetings and certain other benefits requires that your account payments be current. Attendance at in-person events requires that the applicable fees be paid in full before the event.
5.3 Automatic Renewal; Cancellation
Unless you cancel before your renewal date, your membership will automatically renew for successive annual terms at the rates in effect at the time of renewal, and the payment method on file will be charged for the renewal term (in full or in monthly installments, matching your then-current payment schedule). Global Venture Network will provide notice of any price increase before it applies to your renewal. You may cancel your membership at any time by emailing support@globalventurenetwork.com; cancellation takes effect at the end of the then-current membership year, and no partial-year refunds are provided except as set forth in Section 5.5. Instructions for cancellation will also be included in renewal notices.
5.4 Taxes
Fees are exclusive of all taxes, levies, and duties, and you are responsible for any such amounts other than taxes based on Global Venture Network’s income. Where Global Venture Network is required to collect taxes on fees, those taxes will be added to the amounts charged.
5.5 45-Day Membership Guarantee
New memberships, whether paid annually or in monthly installments, are covered by Global Venture Network’s 45-day guarantee. If, within 45 days of your membership start date, you have completed your onboarding call and attended your first Forum session and you decide the membership is not the right fit, then upon your written request: (a) an annual payment will be refunded in full; and (b) a membership paid in monthly installments will be cancelled with nothing further owed. The guarantee window closes 45 days after your membership start date or upon your first matched funder meeting, whichever comes first. The guarantee applies once per member organization and does not apply to renewals, to in-person event tickets, or to separately purchased products or services.
5.6 Event Tickets and In-Person Events
Tickets to in-person Global Venture Network events, including in-person Venture Summits and any in-person ticket offered as a membership add-on, must be paid in full at the time of purchase and are non-refundable within thirty (30) days of the event. Outside that window, refunds or credits are at Global Venture Network’s discretion unless otherwise stated at the time of purchase. Tickets are not transferable without Global Venture Network’s prior consent. If Global Venture Network cancels an in-person event, Global Venture Network will offer, at its option, a credit toward a future event or a refund of the ticket price paid; Global Venture Network is not responsible for travel, lodging, or other costs incurred in connection with any event, including a cancelled or rescheduled event, and attendees are encouraged to book refundable travel.
6. LAUNCHBOOK AND THIRD-PARTY PERKS
6.1 Eligibility; Access Codes
Launchbook accounts are available to founders and team members of companies affiliated with a Global Venture Network member organization or a participating program, using the member access code issued to that organization or program. Access codes are for use only by individuals genuinely affiliated with the issuing organization or program and may not be shared, published, transferred, or used to register unaffiliated individuals or companies. Global Venture Network may verify eligibility at any time and may suspend or deactivate any Launchbook account that was created without a valid affiliation, or after the individual’s affiliation with the program ends, or after the sponsoring organization’s membership or participation ends.
6.2 Perks Are Third-Party Offers
The perks, credits, discounts, and other offers listed on Launchbook (“Perks”) are provided by third-party partners, not by Global Venture Network. Each Perk is subject to the offering partner’s own terms, conditions, eligibility requirements, and application or approval processes, and your redemption of a Perk creates a direct relationship between you and that partner. Global Venture Network is not a party to that relationship, does not provide the underlying products or services, and is not responsible for any partner’s products, services, acts, or omissions.
6.3 No Guarantee; Stated Values
Partners may change, restrict, condition, or withdraw Perks at any time, with or without notice. Global Venture Network does not guarantee that any Perk will be available to you, that you will qualify for any Perk, or that any partner will honor any Perk. Dollar values displayed for individual Perks and for the catalog as a whole (including aggregate figures such as total value per founder) are good-faith estimates of potential value based on partner-stated terms as of the verification date shown, are not a promise or guarantee of savings, and will vary based on your company’s eligibility, usage, and circumstances.
6.4 Program Reporting
If you register for Launchbook using an organization’s or program’s access code, information about your registration and your Perk redemption activity, including the Perks you claim and their estimated value, is shared with the sponsoring organization as described in the Global Venture Network Privacy Policy.
6.5 Perk Conduct
You may not claim or redeem Perks for resale or for the benefit of companies not affiliated with your program, misrepresent your eligibility to Global Venture Network or to any partner, or use Launchbook to harvest partner offer information for any competing service.
7. EVENTS AND THE VENTURE SUMMIT
7.1 Applications; Admission
Participation in The Venture Summit and other Global Venture Network events may require an application or registration. You represent that all information you submit in connection with any application or registration is true, accurate, and complete. Admission to events, assignment to tracks or sessions, room placement, and the matching of participants are determined by Global Venture Network in its sole discretion, and Global Venture Network may decline, condition, or revoke any application or registration.
7.2 No Investment Advice; No Guarantee of Outcomes
The Venture Summit and related Services are designed to introduce leaders of venture accelerators, venture studios and builders, and venture hubs to funders and investors. Global Venture Network does not provide investment, legal, tax, accounting, or financial advice; does not recommend or endorse any investment, opportunity, organization, or person; is not a broker-dealer, investment adviser, placement agent, or funding portal; and does not offer, solicit, negotiate, or effect any investment or transaction. Any discussion, meeting, diligence, agreement, or transaction between event participants is solely between those participants, and each participant is responsible for its own evaluation and decisions. Global Venture Network makes no representation or warranty that participation in any event or Service will result in funding, investment, partnership, membership growth, or any other outcome.
7.3 Event Conduct
Any code of conduct or event policy published for an event is incorporated into the Agreement by reference. Global Venture Network may refuse entry to, or remove from any event, any participant who disrupts the event, violates the Agreement or an applicable event policy, or engages in conduct that Global Venture Network reasonably considers harmful to other participants, in each case without refund.
7.4 Photography and Recording
Global Venture Network events, including virtual sessions, may be photographed and recorded by or on behalf of Global Venture Network. By registering for or attending an event, you consent to Global Venture Network’s recording of the event and its use of your name, image, likeness, and voice as captured at the event, in connection with the operation, documentation, and promotion of Global Venture Network and the Services, in any media, without compensation. If you do not wish to appear in event photography, please notify us at hello@globalventurenetwork.com before the event and identify yourself to the photographer on site. Participants may not record event sessions, in whole or in part, without Global Venture Network’s prior written consent.
7.5 Event Changes
Speakers, agendas, formats, session assignments, matching, venues, and dates are subject to change. Section 5.6 governs refunds for in-person event tickets.
8. PEER FORUMS, COMMUNITY CHANNELS, AND CONFIDENTIALITY
8.1 Community Channels
Global Venture Network operates community spaces for members and other participants, including peer forum groups, messaging communities (including communities hosted on third-party platforms such as WhatsApp), and event spaces (collectively, “Community Channels”). Your participation in Community Channels is subject to Section 4, to Section 4.2’s community standards, and to any published guidelines for the particular Community Channel. Community Channels hosted on third-party platforms are also subject to those platforms’ own terms and privacy policies, which Global Venture Network does not control.
8.2 Forum Confidentiality
Global Venture Network peer forums operate on a confidential basis so that participants can speak candidly. Except as required by law, you agree: (a) not to disclose outside your forum group the identity of any forum participant in connection with any statement made in the forum; (b) not to disclose any non-public business or personal information shared in the forum; and (c) to use information shared in the forum solely for the purpose of forum participation and peer support. These obligations survive the end of your forum participation and the end of your membership. You acknowledge that other participants owe you the same obligations, but that Global Venture Network is not responsible or liable for any participant’s breach of confidentiality.
8.3 No Professional Advice
Statements, opinions, and materials shared by members, mentors, facilitators, funders, speakers, or other participants in forums, Community Channels, or events are those of the individual participants, are not statements or advice of Global Venture Network, and are not legal, financial, tax, investment, or other professional advice. You should consult your own advisors before acting on anything shared in any forum, Community Channel, or event.
9. INVESTIGATIONS
Global Venture Network may, but is not obligated to, monitor or review Global Venture Network Properties at any time. If Global Venture Network becomes aware of any possible violations by you of any provision of the Agreement, Global Venture Network reserves the right to investigate such violations, and Global Venture Network may, at its sole discretion, immediately terminate your license to use Global Venture Network Properties, in whole or in part, without prior notice to you.
10. THIRD-PARTY PROPERTIES
Global Venture Network Properties may contain links to third-party websites and/or applications (“Third-Party Properties”). When you click on a link to a Third-Party Property, we will not warn you that you have left Global Venture Network Properties and are subject to the terms and conditions (including privacy policies) of another website or destination. Such Third-Party Properties are not under the control of Global Venture Network, and we are not responsible for any Third-Party Properties. Global Venture Network provides these Third-Party Properties only as a convenience and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Properties, or any product or service provided in connection therewith. You use all links in Third-Party Properties at your own risk. When you leave our Website, the Terms of Use no longer govern. You should review applicable terms and policies, including privacy and data gathering practices, of any Third-Party Properties, and make whatever investigation you feel necessary or appropriate before proceeding with any transaction with any third party.
11. ACCESSIBILITY STATEMENT
Global Venture Network is committed to facilitating the accessibility and usability of the Website for all people with disabilities. We are constantly working to improve the accessibility of our website to ensure we provide equal access to all users. If you encounter any difficulty in accessing the Website, please contact us at accessibility@globalventurenetwork.com.
12. INDEMNIFICATION
You agree to indemnify and hold Global Venture Network, its parents, subsidiaries, affiliates, officers, employees, agents, partners, suppliers, and licensors (each, a “Global Venture Network Party” and collectively, the “Global Venture Network Parties”) harmless from any losses, costs, liabilities and expenses (including reasonable attorneys’ fees) relating to or arising out of any and all of the following: (a) your violation of the Agreement; (b) your violation of any rights of another party, including any Registered Users; or (c) your violation of any applicable laws, rules or regulations. Global Venture Network reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Global Venture Network in asserting any available defenses. This provision does not require you to indemnify any of the Global Venture Network Parties for any unconscionable commercial practice by such party or for such party’s fraud, deception, false promise, misrepresentation or concealment, suppression, or omission of any material fact in connection with the Services provided hereunder. You agree that the provisions in this section will survive any termination of your Account, the Agreement, and/or your access to Global Venture Network Properties.
13. DISCLAIMER OF WARRANTIES AND CONDITIONS
YOU EXPRESSLY UNDERSTAND AND AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF GLOBAL VENTURE NETWORK PROPERTIES IS AT YOUR SOLE RISK, AND GLOBAL VENTURE NETWORK PROPERTIES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS. GLOBAL VENTURE NETWORK EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT ARISING FROM USE OF THE GLOBAL VENTURE NETWORK PROPERTIES. THE GLOBAL VENTURE NETWORK PARTIES MAKE NO WARRANTY, REPRESENTATION OR CONDITION THAT: (A) THE GLOBAL VENTURE NETWORK PROPERTIES WILL MEET YOUR REQUIREMENTS; (B) ACCESS TO THE WEBSITE WILL BE UNINTERRUPTED OR YOUR USE OF THE GLOBAL VENTURE NETWORK PROPERTIES WILL BE TIMELY, SECURE, OR ERROR-FREE; (C) THE GLOBAL VENTURE NETWORK PROPERTIES WILL BE ACCURATE, RELIABLE, COMPLETE, USEFUL, OR CORRECT; (D) THE WEBSITE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (E) ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR (F) THAT THE WEBSITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM GLOBAL VENTURE NETWORK OR THROUGH GLOBAL VENTURE NETWORK PROPERTIES WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.
14. LIMITATION OF LIABILITY
YOU UNDERSTAND AND AGREE THAT IN NO EVENT SHALL THE GLOBAL VENTURE NETWORK PARTIES BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE OR DATA, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR DAMAGES OR COSTS DUE TO LOSS OF PRODUCTION OR USE, BUSINESS INTERRUPTION, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, IN EACH CASE WHETHER OR NOT GLOBAL VENTURE NETWORK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE AGREEMENT OR ANY COMMUNICATIONS, INTERACTIONS OR MEETINGS WITH OTHER USERS OF GLOBAL VENTURE NETWORK PROPERTIES, ON ANY THEORY OF LIABILITY, RESULTING FROM: (1) THE USE OR INABILITY TO USE GLOBAL VENTURE NETWORK PROPERTIES; (2) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED FOR TRANSACTIONS ENTERED INTO THROUGH GLOBAL VENTURE NETWORK PROPERTIES; (3) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (4) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON GLOBAL VENTURE NETWORK PROPERTIES; OR (5) ANY OTHER MATTER RELATED TO GLOBAL VENTURE NETWORK PROPERTIES, WHETHER BASED ON WARRANTY, COPYRIGHT, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY. UNDER NO CIRCUMSTANCES WILL GLOBAL VENTURE NETWORK PARTIES BE LIABLE TO YOU FOR MORE THAN THE GREATER OF (A) THE TOTAL AMOUNT PAID TO GLOBAL VENTURE NETWORK BY YOU OR YOUR ORGANIZATION DURING THE ONE-MONTH PERIOD PRIOR TO THE ACT, OMISSION, OR OCCURRENCE GIVING RISE TO SUCH LIABILITY, AND (B) $100. IN THE EVENT SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF DAMAGES TO THE EXTENT INDICATED ABOVE, OUR LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW. YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN GLOBAL VENTURE NETWORK AND YOU.
15. TERM AND TERMINATION
15.1 Term
The Terms of Use commences on the date when you accept them (as described in the preamble above) and remain in full force and effect while you use Global Venture Network Properties, unless terminated earlier in accordance with this section.
15.2 Termination of Services by Global Venture Network
Global Venture Network reserves the right to terminate or block any user’s access to the Global Venture Network Properties or the Services at any time, with or without cause, without notice. For cause reasons that your access may be terminated include, but are not limited to (a) if you or your organization fail to provide timely payment for the Services, if applicable, (b) if you have materially breached any provision of the Agreement, or (c) if Global Venture Network is required to do so by law (e.g., where the provision of the Services is, or becomes, unlawful). You agree that all terminations for cause shall be made in Global Venture Network’s sole discretion and that Global Venture Network shall not be liable to you or any third party for any termination of your Account.
15.3 Termination of Services by You
If you want to terminate the Services provided by Global Venture Network, you may do so by (a) notifying Global Venture Network at any time, and (b) closing your Account for all of the Services that you use. Your notice should be sent, in writing, to support@globalventurenetwork.com. Termination or cancellation of a paid membership is additionally subject to the fee, renewal, and refund terms in Section 5.
15.4 Effect of Termination
Termination may result in the termination of access to your Account, the barring of any future use of the Global Venture Network Properties or the Services, and the deletion of your password and all related information, files and Content associated with or inside your Account (or any part thereof). Upon termination of any portion of the Services, your right to use such portion of the Services will automatically terminate immediately. Global Venture Network will not have any liability whatsoever to you for any suspension or termination. All provisions of the Terms of Use which by their nature should survive, shall survive termination of Services, including without limitation, ownership provisions, warranty disclaimers, limitations of liability, and the confidentiality obligations in Section 8.2.
16. DISPUTE RESOLUTION
16.1 Agreement to Arbitrate
You and Global Venture Network agree that any dispute, claim, or controversy arising out of or relating to the Agreement or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Services (collectively, “Disputes”) will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights. You acknowledge and agree that you and Global Venture Network are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding.
16.2 Arbitration Procedures
The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes then in effect, except as modified by this section. The Federal Arbitration Act will govern the interpretation and enforcement of this section. Unless you and Global Venture Network otherwise agree, the arbitration will be conducted in Denver, Colorado.
16.3 Arbitration Costs
Payment of all filing, administration, and arbitrator fees will be governed by the AAA’s rules, unless otherwise stated in this Agreement. If the value of the relief sought is $10,000 or less, at your request, Global Venture Network will pay all filing, administration, and arbitrator fees associated with the arbitration. Any request for payment of fees by Global Venture Network should be submitted by mail to the AAA along with your Demand for Arbitration.
16.4 Class Action Waiver
YOU AND GLOBAL VENTURE NETWORK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Global Venture Network agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.
16.5 Small Claims Court
Notwithstanding the foregoing, either you or Global Venture Network may bring an individual action in small claims court.
17. INTERNATIONAL USERS
Global Venture Network Properties can be accessed from countries around the world and may contain references to Services and Content that are not available in your country. These references do not imply that Global Venture Network intends to announce such Services or Content in your country. Global Venture Network Properties are controlled and offered by Global Venture Network from its facilities in the United States of America. Global Venture Network makes no representations that Global Venture Network Properties are appropriate or available for use in other locations. Those who access or use Global Venture Network Properties from other countries do so at their own volition and are responsible for compliance with local law.
18. DATA PROCESSING AND GDPR COMPLIANCE
If you are located in the European Economic Area (EEA), United Kingdom, or Switzerland, Global Venture Network will process your personal data in accordance with the General Data Protection Regulation (GDPR) or equivalent applicable laws. As part of this compliance: 1. We will only process your personal data on lawful grounds. 2. We will be transparent about how we use your data. 3. We will only collect data that is necessary for providing our Services. 4. We will respect your data subject rights including the right to access, correct, delete, restrict processing, and data portability.

19. GENERAL PROVISIONS
19.1 Electronic Communications
The communications between you and Global Venture Network may take place via electronic means, whether you visit Global Venture Network Properties or send Global Venture Network e-mails, or whether Global Venture Network posts notices on Global Venture Network Properties or communicates with you via e-mail. For contractual purposes, you (a) consent to receive communications from Global Venture Network in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Global Venture Network provides to you electronically satisfy any legal requirement that such communications would satisfy if it were to be in writing.
19.2 Assignment
The Terms of Use, and your rights and obligations hereunder, may not be assigned, subcontracted, delegated or otherwise transferred by you without Global Venture Network’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void.
19.3 Force Majeure
Global Venture Network shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.

If you feel that your concerns have been addressed incompletely, we invite you to let us know for further investigation.
19.5 Governing Law and Venue
This Terms of Use will be governed by and construed in accordance with the laws of the State of Colorado. The venue for any disputes shall be Denver, Colorado. The Parties hereby agree to waive the following defenses to any action brought in Colorado: forum non conveniens, lack of personal jurisdiction, insufficient process, and insufficient service of process.
19.6 Choice of Language
It is the express wish of the parties that the Terms of Use and all related documents have been drawn up in English, even if provided in an alternative language.
19.7 Notice
Where Global Venture Network requires that you provide an e-mail address, you are responsible for providing Global Venture Network with your most current e-mail address. In the event that the last e-mail address you provided to Global Venture Network is not valid, or for any reason is not capable of delivering to you any notices required/ permitted by the Terms of Use, Global Venture Network’s dispatch of the e-mail containing such notice will nonetheless constitute effective notice. You may give notice to Global Venture Network at the following address: Global Accelerator Network, LLC, Attn: Legal, 850 Albion Street, Suite 250, Denver, CO 80220. Such notice shall be deemed given when received by Global Venture Network by letter delivered by nationally recognized overnight delivery service or first class postage prepaid mail at the above address.
19.8 Waiver
Any waiver or failure to enforce any provision of the Terms of Use on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion.
19.9 Severability
If any portion of the Terms of Use is held invalid or unenforceable, that portion shall be construed in a manner to reflect, as nearly as possible, the original intention of the parties, and the remaining portions shall remain in full force and effect.
19.10 Export Control
You may not use, export, import, or transfer Global Venture Network Properties except as authorized by U.S. law, the laws of the jurisdiction in which you obtained Global Venture Network Properties, and any other applicable laws. In particular, but without limitation, Global Venture Network Properties may not be exported or re-exported (a) into any United States embargoed countries, or (b) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce’s Denied Person’s List or Entity List. By using Global Venture Network Properties, you represent and warrant that (y) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country and (z) you are not listed on any U.S. Government list of prohibited or restricted parties. You acknowledge and agree that products, services, or technology provided by Global Venture Network are subject to the export control laws and regulations of the United States. You shall comply with these laws and regulations and shall not, without prior U.S. government authorization, export, re-export, or transfer Global Venture Network products, services, or technology, either directly or indirectly, to any country in violation of such laws and regulations.
19.11 Consumer Complaints
In accordance with California Civil Code Section 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 N. Market Blvd., Ste N-112, Sacramento, CA 95834-1924, or by telephone at (800) 952-5210.
19.12 Entire Agreement
The Terms of Use is the final, complete, and exclusive agreement of the parties with respect to the subject matter hereof and supersedes and merges all prior discussions between the parties with respect to such subject matter.
